These Terms govern the provision of credit facilities by Qwrki to approved clients. Credit is provided at Qwrki's sole discretion and may be amended, restricted or withdrawn at any time.

Overview

These Credit Account Terms ("Terms") govern the provision of credit facilities by Qwrki ("Qwrki", "we", "us", "our") to approved clients ("Client", "you", "your").

By applying for or using a Qwrki credit account, the Client agrees to be bound by these Terms.

Credit is provided at Qwrki's sole discretion and may be amended, restricted or withdrawn at any time.

Credit approval

All credit accounts are subject to approval
Qwrki may request financial, trading or director information
Approval does not guarantee ongoing access to credit

Qwrki reserves the right to

Approve or decline any application
Apply conditions to any account
Review credit status at any time

Credit limit

A credit limit may be assigned at Qwrki's discretion
The Client must not exceed the approved limit

Qwrki may at any time

Increase or reduce the credit limit
Suspend accounts exceeding limits
Require immediate payment of excess amounts

Payment terms

Unless otherwise agreed in writing:

Payment terms are 14 or 30 days from invoice date
All invoices must be paid in full, without deduction or set-off

Failure to pay within terms constitutes a breach of agreement.

Late payment & default

If payment is overdue, Qwrki reserves the right to:

Charge interest on overdue amounts at 8% per annum, calculated daily
Suspend services immediately
Freeze or terminate the credit account
Require full or partial payment in advance for all future work

Recovery costs — the Client is liable for

Legal fees
Collection agency costs
Administrative costs

Suspension & withdrawal of credit

Qwrki may suspend or withdraw credit at any time, without prior notice, where:

Payments are overdue
The Client exceeds credit limits
Financial risk is identified
These Terms are breached

Suspension of credit may result in immediate suspension of services.

Personal guarantee

Qwrki may require a personal guarantee from directors or business owners.

Where a personal guarantee is provided

The guarantor is personally liable for all outstanding amounts
Liability continues until all debts are paid in full

Where applicable, personal guarantee requirements will be communicated during the credit application process.

Use of credit

Credit facilities may only be used for:

Approved services
Agreed scope of work

Credit does not extend to

Unapproved work
Third-party costs unless agreed in writing

Disputes

Any invoice dispute must be submitted in writing within 7 days of invoice date
Disputes must clearly outline the issue

Undisputed portions of invoices must still be paid in full and on time.

Failure to raise a dispute within this period constitutes acceptance of the invoice.

Termination

Upon termination of services:

All outstanding balances become immediately due and payable
Credit facilities are automatically withdrawn

Qwrki may withhold deliverables until all outstanding amounts are settled in full.

Liability

Qwrki is not liable for:

Any loss arising from suspension or withdrawal of credit
Business interruption caused by the enforcement of these Terms
Any indirect or consequential losses

Governing law

These Terms are governed by the laws of New South Wales, Australia.
