Introduction

These Terms of Service ("Terms") govern all services provided by Qwrki ("Qwrki", "we", "us", "our") to the client ("Client", "you", "your").

By engaging Qwrki, the Client agrees to be bound by these Terms.

These Terms apply to all services, including but not limited to digital infrastructure, growth execution, programme and grant delivery, and project work.

Service structure

Qwrki operates a structured service model comprising four distinct layers:

2.1 Digital OS — core infrastructure

The Digital OS forms the foundational layer of all ongoing engagements and may include:

Website and eCommerce infrastructure
Tracking, analytics and attribution systems
CRM and email infrastructure
Reporting dashboards and data systems
Governance, compliance and operational frameworks
System maintenance and support

The Digital OS is designed to provide operational stability and measurable performance.

2.2 Growth modules

Growth modules are execution services activated based on commercial objectives and may include:

SEO and content
Paid search and paid social
Email marketing and lifecycle automation
Conversion rate optimisation
Marketplace and Amazon operations
AI and automation systems

Modules are dependent on the underlying infrastructure and may not be effective without it.

2.3 Programme & grant delivery

Qwrki may provide programme design, funding support and delivery services. Such services are governed in conjunction with the Qwrki Grant & Programme Terms.

Qwrki does not guarantee funding outcomes.

2.4 Project work

Qwrki may deliver fixed-scope project work, including:

Website builds
Technical implementations
System integrations
Strategic projects

Each project is governed by a separate scope or agreement.

Engagement & scope

3.1 Scope of work

All services are delivered in accordance with an agreed scope, proposal or statement of work. Any services not expressly included are considered out of scope.

3.2 Changes to scope

Qwrki reserves the right to:

Refuse out-of-scope requests
Require written approval for additional work
Adjust fees and timelines accordingly

Fees & payment

4.1 Fees

Fees may include:

Recurring subscription fees
Module or service fees
Project-based fees
Programme-related fees

All fees are exclusive of applicable taxes unless stated otherwise.

4.2 Payment terms

Invoices are payable within the agreed period (typically 7–14 days)
Late payments may result in suspension of services
Continued non-payment may result in termination

4.3 Late payment

Client obligations

The Client agrees to:

Provide accurate, complete and timely information
Maintain access to required platforms and systems
Respond to communications and approvals promptly
Ensure internal alignment and decision-making authority

Qwrki is not responsible for delays or failures caused by the Client.

Access & systems

6.1 Access requirements

Qwrki requires access to relevant systems, including but not limited to:

Website CMS and hosting
Analytics platforms
Advertising accounts
CRM and email platforms

6.2 Account ownership

The Client retains ownership of all accounts unless otherwise agreed in writing.

6.3 Access limitations

Qwrki is not liable for:

Restricted or revoked access
Platform limitations or failures

Data & privacy

Qwrki processes data in accordance with its Privacy Policy. The Client acknowledges that:

Data may be processed using third-party platforms
Tracking and reporting systems may have limitations
Absolute accuracy of data cannot be guaranteed

Full details of data processing are set out in the Qwrki Privacy Policy and Data Processing Agreement.

Intellectual property

8.1 Client materials

All materials provided by the Client remain the Client's property.

8.2 Qwrki intellectual property

Qwrki retains ownership of:

Systems, frameworks and methodologies
Automation processes and logic
Templates, documentation and tools

8.3 Licence

The Client is granted a non-exclusive, non-transferable licence to use deliverables for internal business purposes.

Performance & outcomes

Qwrki provides services on a best-efforts basis. The Client acknowledges that:

No guarantees are made regarding performance or results
Outcomes depend on factors beyond Qwrki's control
Third-party platforms significantly influence results

Third-party platforms

Qwrki utilises third-party platforms, including but not limited to Google, Meta, Amazon, Shopify, and email and CRM platforms.

Qwrki is not responsible for

Platform outages or changes
Account suspensions
Policy changes affecting performance

Limitation of liability

To the maximum extent permitted by law:

Qwrki is not liable for indirect, incidental or consequential loss
Qwrki's total liability is limited to fees paid within the preceding 3 months
Qwrki is not liable for third-party actions or failures

Indemnity

The Client agrees to indemnify and hold Qwrki harmless from any claims, losses or damages arising from:

Inaccurate or misleading information provided by the Client
Breach of applicable laws or regulations
Misuse of systems or services

Confidentiality

Both parties agree to:

Maintain confidentiality of all non-public information
Use such information solely for the purpose of the engagement
Not disclose information without prior written consent

Termination

14.1 Termination for convenience

Either party may terminate the agreement with written notice as agreed.

14.2 Termination for cause

Qwrki may terminate immediately if:

Payment terms are breached
Access to systems is restricted
The Client engages in unlawful or unethical conduct

14.3 Effects of termination

Upon termination:

Outstanding fees become immediately payable
Access to Qwrki-managed systems may be withdrawn
Transition support may be provided at an additional cost

Force majeure

Qwrki is not liable for failure to perform due to events beyond reasonable control, including but not limited to:

Natural disasters
Government actions
Platform outages
Network failures

Amendments

Qwrki may update these Terms from time to time.

Continued use of services constitutes acceptance of updated Terms.

Governing law

These Terms are governed by the laws of the applicable jurisdiction in which Qwrki operates, unless otherwise agreed in writing.
